The following agreement (this "Agreement" or the "Terms of Service") describes the terms on which Help’s Here for the Childcare Director offers you access to its services. At the beta test stage the product has already passed through the first level, internal pilot test, aka. Alpha Test, and glaring defects have been removed. However, since the product may still have some minor problems that require user participation, it is released to selected customers for testing under normal, everyday conditions of use to spot the remaining flaws. You have been selected to participate in our limited beta test program. In exchange for your cooperation you will receive a waver of all monthly fees ($99.00 per month) for a maximum period of six months. You will, however, be asked to pay the Licensing / Setup fee of $599.00. · SERVICES AND CONTENT Help’s Here for the Childcare Director is a series of online databases and web pages to access those databases. By using Help’s Here services you agree to these terms and certify that you have the authority of the company owning the childcare facility to make contracts and allocate funds for the company. User accounts found to be fraudulent in this certification by any means, will be removed and banned from further use of the services. · Help’s Here for the Childcare Director is a service provider meaning among other things that we do not necessarily control various aspects of the environment. Backing up of data stored using Help’s Here for the Childcare Director’s web pages and databases is provided by our service provider and not a function of our services. · Help’s Here for the Childcare Director’s services may be subject to scheduled and unscheduled interruptions. Various system updates and upgrades will be applied when needed. Help’s Here for the Childcare Director reserves the right to interrupt services with or without user notification. When practical all attempts will be made to notify the user base and such interruptions will be remidied as quickly as possible. You agree that Help’s Here for the Childcare Director will not be liable for any service interruptions required, and you will not be entitled to any refunds of fees paid. · ACCOUNT REGISTRATION AND REQUIREMENTS You must create an account with Help’s Here for the Childcare Director to utilize the services. You agree that you are not obligated any refund of fees paid if this should occur. You are forwarded the right to appeal and a dispute resolution investigation will occur. · You are responsible for your own Internet access. Help’s Here is not an Internet Service Provider. You remain responsible for any fees incurred utilizing the Internet to connect to the Help’s Here services. · By accepting this agreement you represent that you are an adult 18 years of age or older. · By accepting this agreement you understand that Help’s Here for the Childcare Director is bound to the laws of the United States of America, and all local laws in regards to the states. · LICENSE TERMS AND OTHER INTELLECTUAL PROPERTY TERMS You retain with respect to content you upload to Help’s Here for the Childcare Director to the extent that you have such rights under applicable law. · Help’s Here for the Childcare Director retains ownership of all web programming, page layouts, and database structures. The user however, retains and is responsible for the content of all data. · FAIR USE AND ABUSE Help’s Here for the Childcare Director reserves the right to further advance this area of the TOS. · RELEASES, DISCLAIMERS OF WARRANTY, LIMITATION OF LIABILITY, AND INDEMNIFICATION In no event shall Help’s Here for the Childcare Director or its suppliers be liable for any damages (including, without limitation to, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the materials on Help’s Here for the Childcare Director’s site, even if Help’s Here for the Childcare Director or a Help’s Here for the Childcare Director’s authorized representative has been notified orally or in writing of the possibility of such damage.
